Platform Rules Privacy Notice

1. Parties and acceptance

1.1 This Platform Membership Agreement (the "Agreement") is between RebelBuilt Work, LLC, a Colorado limited liability company ("RebelBuilt"), and the business that enrolls on the RebelBuilt platform (the "Member").

1.2 The Member accepts this Agreement by checking the agreement box at Enrollment or at Browse Pass purchase. RebelBuilt records the date, time, and version of the Agreement accepted.

1.3 The person who accepts this Agreement confirms that they have authority to bind the Member.

1.4 This Agreement governs the Member's relationship with the RebelBuilt platform. It does not grant the use of any space. Use of a space is granted only by a signed Workspace License (Section 6).

3. Membership

3.1 Operator Membership. An Operator Membership in good standing gives the Member:

  1. Access to browse Listings on the Platform.
  2. The ability to request a tour of a space and to request a space.
  3. Access to Operator Services, including the Verified Doer badge, the member offer of the month, and partner services.

3.2 Good standing. An Operator Membership is in good standing while its status is Active or Past Due (Section 5.3).

3.3 Space Host Membership. A Space Host enrolls without a Membership Fee. A Space Host Membership lets the Member describe its space to RebelBuilt and, as features are released, manage its spaces, Listings, and media on the Platform.

3.4 Browse Pass. A Browse Pass lets its holder browse Listings and request a tour for 7 days from purchase. A Browse Pass does not include requesting a space or Operator Services. A Browse Pass does not renew. One Browse Pass is available per email address.

3.5 Requests are not commitments. A tour request or a space request is a request to RebelBuilt. It does not reserve a space, create a Workspace License, or obligate RebelBuilt or any Space Host to place the Member.

4. Fees and payment

4.1 Operator fees. An Operator pays a one-time Membership Activation Fee and a recurring Membership Fee, monthly or annual as the Operator selects at Enrollment. The amounts are those shown on the enrollment page and at checkout on the date of Enrollment.

4.2 Browse Pass. A Browse Pass is a one-time payment of the amount shown at checkout. If the holder enrolls as an Operator within the 7 days of the pass, the full Browse Pass amount is credited toward the Membership Activation Fee.

4.3 Automatic renewal. The Membership Fee renews automatically at the end of each monthly or annual period and is charged to the payment method on file until the Membership is canceled.

4.4 Payment processing. Payments are processed by Stripe. RebelBuilt may have an affiliate, including RebelBuilt Work Rocky Mountains, LLC, collect fees on RebelBuilt's behalf. A payment to that affiliate is a payment to RebelBuilt under this Agreement.

4.5 Price changes. RebelBuilt gives at least 30 days' notice by email before a change to the Membership Fee takes effect for an existing Member. The new amount applies from the first renewal after the notice period.

4.6 Taxes. Fees do not include taxes. The Member pays any tax that applies to its fees.

4.7 Other fees. Fees for space, add-ons, and services under a Workspace License or a Service Agreement are set by that agreement, not by this Agreement.

5. Cancellation, non-payment, and refunds

5.1 Cancellation by the Member. The Member may cancel its Membership at any time by emailing ops@rebelbuiltwork.com. Cancellation takes effect at the end of the monthly or annual period already paid. The Membership stays in good standing until then.

5.2 No refunds. The Membership Activation Fee, Membership Fees for periods already started, and Browse Pass payments are non-refundable, including on cancellation.

5.3 Failed payment. If a renewal payment fails, the Membership status becomes Past Due, and Stripe retries the payment. The Membership stays in good standing while Past Due. If the payment is not collected within the retry period, which is currently 8 attempts within 2 weeks, the Membership is canceled.

5.4 Re-enrollment. A Member whose Membership was canceled may enroll again and pays the fees in effect on the date of the new Enrollment. A Member with a Past Due Membership brings the balance current before enrolling again.

5.5 Effect on Workspace Licenses. A Workspace License requires a Membership in good standing. Cancellation of a Membership is handled under the terms of each Workspace License the Member holds.

6. Membership is not a Workspace License

6.1 A Membership conveys no interest in real property and no right to occupy or use any space.

6.2 An Operator gains Access to a space only by signing a Workspace License with the licensor named in it. That licensor may be RebelBuilt, an affiliate of RebelBuilt, or a Space Host.

6.3 Each Workspace License sets its own terms, fees, insurance requirements, and termination rights, which may include a one-time fee charged when the Workspace License is signed. Any such fee is separate from the Membership Activation Fee.

6.4 A Membership in good standing is required before an Operator signs a Workspace License, and while the Workspace License is in effect.

7. Member responsibilities and platform rules

7.1 The Member gives accurate information at Enrollment and keeps its business name, contact details, and payment method current.

7.2 The Member follows the Platform Rules published in the app. RebelBuilt may update the Platform Rules with notice under Section 12.1.

7.3 Documents the Member uploads, including certificates of insurance, background screening reports, and licenses, are true and current copies.

7.4 The Member uses the Platform for lawful business purposes only.

7.5 The Member treats other Members, Space Hosts, and RebelBuilt staff with respect in all Platform communications, including group conversations and tours.

8. Operator Services and partner offers

8.1 Some Operator Services are provided by third parties. The Member's use of a third-party service is governed by that provider's own terms, and the provider is responsible for its service.

8.2 RebelBuilt may receive referral or partner compensation when a Member signs up for a third-party service through the Platform.

8.3 The Verified Doer badge shows that the Member has uploaded a current certificate of insurance and a current background screening report that meet RebelBuilt's stated requirements. The badge records what the Member provided. It is not a guarantee by RebelBuilt of the Member's work, licensing, or conduct.

8.4 RebelBuilt may add, change, or end Operator Services and member offers at any time.

9. Accounts, sign-in, and communications

9.1 Each Login signs in with a one-time link emailed to its address. The Member keeps control of the email accounts of its Logins and tells RebelBuilt at ops@rebelbuiltwork.com when a Login should be removed.

9.2 Actions taken through a Member's Logins are actions of the Member.

9.3 The Member agrees to receive account, billing, and space notices from RebelBuilt by email and by text message to the contact details it provides. The Member can stop text messages by replying STOP. Account and billing notices continue by email while the Membership is active.

9.4 RebelBuilt collects and uses Member information to run the Platform, as described in its Privacy Notice.

10. Intellectual property and member content

10.1 The Platform, the RebelBuilt name and brand, the space classification system, the platform vocabulary, and all Platform content belong to RebelBuilt and its licensors. This Agreement grants the Member a limited, non-transferable right to use the Platform during its Membership.

10.2 The Member keeps ownership of the content it uploads. The Member grants RebelBuilt a non-exclusive, royalty-free license to store, copy, and display that content to run the Platform and to verify Credentials.

10.3 A Space Host also grants RebelBuilt a non-exclusive, royalty-free license to use photos, videos, and descriptions of its space in Listings and in RebelBuilt marketing while the space is on the Platform, and in materials already published after that.

10.4 The Member confirms that it has the right to upload the content it provides.

11. Disclaimers and limitation of liability

11.1 RebelBuilt provides the Platform as it is and as available. RebelBuilt does not promise that a space, a placement, or a particular Listing will be available to the Member.

11.2 RebelBuilt is not responsible for the acts of other Members, Space Hosts, or third-party service providers.

11.3 RebelBuilt's total liability to the Member under this Agreement is limited to the greater of $100 or the Membership Activation Fee and Membership Fees the Member paid in the 12 months before the claim arose.

11.4 Neither party is liable to the other under this Agreement for lost profits or for indirect, incidental, or consequential damages.

11.5 Liability for a space, including property stored in it, is governed by the Workspace License for that space, not by this Agreement.

12. Changes, termination by RebelBuilt, and general terms

12.1 Changes. RebelBuilt may update this Agreement or the Platform Rules. RebelBuilt gives at least 30 days' notice by email and in the app before a change takes effect. The Member accepts the updated version by continuing to use the Platform after the change takes effect.

12.2 Termination by RebelBuilt. RebelBuilt may suspend or end a Membership with notice by email if the Member breaches this Agreement or the Platform Rules, provides false information or documents, or does not pay. No refund is due on termination for those reasons.

12.3 Assignment. RebelBuilt may assign this Agreement to an affiliate or to a successor of its business. The Member may assign this Agreement only with RebelBuilt's written consent.

12.4 Notices. Notices to RebelBuilt go to ops@rebelbuiltwork.com. Notices to the Member go to the email address of its primary Login.

12.5 Electronic acceptance. The Member's electronic acceptance and RebelBuilt's electronic records of it have the same effect as a signed paper agreement.

12.6 Governing law and venue. Colorado law governs this Agreement. Any dispute is brought in the state courts located in Arapahoe County, Colorado.

12.7 Entire agreement. This Agreement and the Platform Rules are the entire agreement between the parties about Membership. A Workspace License or a Service Agreement governs its own subject.

12.8 Severability. If a court holds part of this Agreement unenforceable, the rest of it stays in effect.
